  • You own or have the necessary licenses, rights, consents, and permissions to use and authorize AI with Drive [aiwdrive] to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of the User Content in the manner contemplated by the Services and these Terms.
  • Your User Content does not violate any law or infringe upon the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.
  • Your User Content does not contain any defamatory, libelous, hateful, racist, or otherwise offensive or unlawful material.

4.3 License to AI with Drive [aiwdrive]

By submitting User Content to the Services, you grant AI with Drive [aiwdrive] a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and AI with Drive [aiwdrive]’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

4.4 Content Standards

You agree not to upload, post, or transmit any User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Contains unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
  • Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
  • Impersonates any person or entity or falsely states or otherwise misrepresents your affiliation with a person or entity.

4.5 Monitoring and Removal of User Content

While AI with Drive [aiwdrive] does not pre-screen User Content, we reserve the right (but not the obligation) to remove or refuse to post any User Content that, in our sole discretion, violates these Terms or is otherwise objectionable. We may also terminate or suspend your access to the Services if you violate these Terms.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
  • Harassing, abusing, or harming another person or group.
  • Interacting with the Services in a way that could damage, disable, overburden, or impair our servers or networks.

AI WITH DRIVE [AIWDRIVE] DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • ANY DEFECTS OR ERRORS WILL BE CORRECTED.
  • THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI WITH DRIVE [AIWDRIVE], ITS AFFILIATES, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES.
  • ANY CONTENT OBTAINED FROM THE SERVICES.
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

10. Indemnification

You agree to defend, indemnify, and hold harmless AI with Drive [aiwdrive] and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:

  • Your use and access of the Services, by you or any person using your account and password.
  • Your breach of these Terms.
  • Your User Content.
  • Your violation of any rights of another, including intellectual property rights.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Colorado, USA, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Colorado, USA, and you hereby consent to the personal jurisdiction and venue therein.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and AI with Drive [aiwdrive]’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and AI with Drive [aiwdrive] regarding our Services, and supersede and replace any prior agreements, oral or otherwise, regarding the Services.
